KATZ MEDIA GROUP TO REPRESENT
CBS RADIO AND ENTERCOM COMMUNICATIONS

New York, November 25, 2008 – Katz Media Group Inc., the nation’s largest media representation firm, today announced that its Katz Radio Group will represent two of the nation’s most prestigious broadcasters, CBS Radio and Entercom Communications.

These agreements with CBS Radio and Entercom were made possible by the approval of the United States Bankruptcy Court for the Southern District of New York of a separate agreement between Katz and the trustee overseeing Interep’s bankruptcy estate.

CBS Radio and Entercom own two of the most impressive station line-ups in the United States. New York-based CBS Radio is one of the U.S.’s largest major-market broadcasters, with stations covering a wide variety of formats, including news, alternative rock, oldies, country, talk, classic rock and urban. A division of CBS Corp., CBS Radio operates 140 radio stations in 49 of the nation’s top 50 markets.

Entercom, of Bala Cynwyd, Pa., is one of the five largest radio broadcasting companies in the nation, with 110 stations in 23 markets, including San Francisco, Boston, Seattle, Denver, Portland, Sacramento and Kansas City. Home to some of radio’s most distinguished brands and on-air personalities, Entercom focuses on creating effective integrated marketing solutions for its customers that incorporate the company’s audio, digital and experiential assets.

“We’re delighted to represent CBS Radio and Entercom, two of the country’s most well-respected broadcasters,” said Stu Olds, Chief Executive Officer of Katz Media Group. “Radio is undergoing transformational changes with aggressive expansions into online, on-demand, mobile text, real-time data and digital broadcasts, resulting in a significant expansion of the medium’s audience and more engaged listeners. We’re thrilled to create new partnerships with broadcasters on the leading edge of these advancements, and we look forward to building long-term relationships that will create exceptional value.”

“We have positively benefited from Katz representation at a number of our stations, and believe this enhanced partnership has significant advantages for our radio stations and the way in which we work with our clients,” said Dan Mason, President and CEO, CBS Radio. “Stu and his team have long championed the industry speaking from a position of knowledge and enthusiasm. Including all of our stations and diverse assets in their messaging will help strengthen radio’s overall place in an advertiser’s media mix.”

“We are very excited to enter into this new relationship and bring the rest of our station group into the Katz family,” said David J. Field, President and CEO of Entercom Communications. “No other medium offers a greater value proposition or is better positioned for success in the current economic climate than radio. And with the continued development of innovative content, new digital technologies and integrated marketing capabilities, radio is fundamentally reinventing itself for tomorrow. We are excited to be part of this evolution.”

A new sales organization, which will represent CBS Radio and Entercom stations, will be based in New York and operate out of 12 offices around the country. It will be led by Jana Cosgrove, formerly President of CBS Radio Sales, who joined Interep in 1993 and was named Executive Vice President of CBS Radio Sales in March 2006. She will report to Mark Gray, President of Katz Radio Group.

“CBS Radio and Entercom each own an extraordinary array of stations in many of the nation’s leading markets,” Mark Gray said. “We’re confident that our talented sales force, under Jana’s strong leadership, will be able to maximize the potential of both the CBS and Entercom stations. We will provide the highest levels of customer service and create even more effective sales solutions by working with national advertisers to further their unique cross-platform integration opportunities.”
